Proposed Constitution & Bylaws Amendments

At the May 7, 2018 General Membership Meeting at the Jericho Terrace, members will be asked to vote on four proposed amendments to the NCDS Constitution & Bylaws. The four amendments are listed below:

 

Amendment to the Nassau County Dental Society Constitution & Bylaws Pertaining to Meetings of the General Membership

Background Statement: In order to bring General Membership meetings more in line with the current needs of the Society it is recommended that the meeting schedule be changed.

Resolved:  That Chapter I, Section 90 of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

Section 90. Meetingssetting forth the date, time and place for each meeting, no less than thirty (30) days prior to the date of the meeting. All stated meetings shall take place within the and/or by e-mail meetings occur annually. Notice of meetings shall be published in the official publica­tion of the Society or on the Society’s website, four five such that no less than as the Board deems necessary,, October, and November and at other times (Installation)A. Stated Meetings: Stated meetings of the general membership shall be held in January County of Nassau or in such other location as shall be determined by the Board of Directors. Installation of elective officers shall occur at the January meeting. Nominations for elective offices, elective positions, directors and the at-large members of the Council on Nominations shall occur at the October meeting. Election of candidates for elective offices, elective positions, directors as well as the at-large members of the Council on Nominations shall occur at the November meeting.

B. Special Meetings: Special meetings of the general membership may be called at any time either by the President, at the direction of the Board of Directors, or by petition signed by twenty five (25) active, life or retired members in good standing, provided notice is published five (5) days in ad­vance of the meeting, setting forth the purpose, time, date and place for the meeting. No other business except that which is stated in the notice may be transacted.

 

Amendment to the Nassau County Dental Society Constitution & Bylaws Pertaining to Meetings of the Board of Directors

Background Statement: In order to bring Board of Directors meetings more in line with the current needs of the Society it is recommended that the meeting schedule be changed.

Resolved:  That Chapter III, Section 100 of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

Section 100. MeetingsA. Regular Meetings: The Board of Directors shall meet monthly no less than six (6) times per year, except during July and August. Notice of meetings shall be published in the official publication of the Society and/or by e-mail, setting forth the date, time and place for each meeting. B. Special Meetings: Special meetings of the Board of Directors may be called at any time either by the Presi­dent with the majority approval of the elective officers, or upon the written request of ten (10) six (6) voting members of the Board of Directors, provided notice is given to each member five (5) days in ad­vance of the meeting, setting forth the purpose, time, date and place for the meeting. No other business except that which is stated in the notice may be transacted.

C. Attendance by members of the Board shall be in person.  In limited circumstances, attendance, including voting, by one or more members may be done by telephone or video conferencing at the discretion of the President.

 

 

Amendment to the Nassau County Dental Society Constitution & Bylaws Eliminating the Reference to GLIDM

After a legal review of the structure of GLIDM it is no longer considered an independent joint venture of the Background StatementNassau and Suffolk Dental Societies but simply a committee of both societies. Therefore, all references to GLIDM should be removed from the Bylaws and moved to the Administrative Code where all other committees are referenced. If approved, this change will take effect June 1, 2018, at the beginning of GLIDM’s new fiscal year.

Resolved:  That Chapter XI, Sections 10 - 100 of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

Chapter XI: GREATER LONG ISLAND DENTAL MEETING

Section 10. Name: The Greater Long Island Dental Meeting, hereinafter referred to as "the GLIDM," or "the Meeting," is an unincorporated joint venture sponsored by this Society and the Suffolk County Dental Society (SCDS).

: The governing body of the GLIDM shall be its Board of Directors  which shall be composed of four (4) members each from the Section 20. Governing BodyNassau and Suffolk County Dental Societies. Such eight (8) directors and the General Chairman of the meeting shall constitute the voting membership of the Board of Directors. The Vice Chairman and Immediate Past Chairman shall be ex officio members of the Board of Directors without the right to vote. The General Chairman may only exercise the right to vote in the event of a tie.

Section 30. Appointments: Appointments to any open director position(s) representing this Society to the GLIDM, shall be made by the President, subject to the approval of the Board of Directors.

Section 40. Term of Office: The term of office of a director representing this Society to the GLIDM shall be four (4) years. The tenure of a director shall be limited to three (3) consecutive terms of four (4) years.

Section 50. Eligibility: Only an active, life or retired member in good standing of this Society shall be eligible to serve as this Society's representative to the Board of Directors of the GLIDM.

Section 60. Officers: The officers of the Greater Long Island Dental Meeting shall be General Chairman and Vice Chairman. The officers shall be selected by the Board of Directors of the GLIDM in a manner consistent with its own bylaws. The position of General Chairman and Vice Chairman shall not concurrently be selected from the same sponsoring society, and shall alternate between the two sponsoring Societies. The term of office of the General Chairman and Vice Chairman shall be one (1) year. The General Chairman shall be limited to serve no more than two (2) consecutive one (1) year terms.

Section 70 Vacancies: In the event of a vacancy in the office of director, an active, life or retired member shall be appointed by the President to fill such office for the remainder of the unexpired term. If the new director filling a vacancy serves less than fifty percent (50%) of a full four (4) year term, that term shall not be considered in determining the overall tenure of the director. If the new director filling a vacancy serves fifty percent (50%) or more of a full four (4) year term, that term shall be considered in determining the overall tenure of the director.

Section 80. Powers: The Greater Long Island Dental Meeting shall have the power to establish bylaws, rules and regulations to govern the conduct of the Meeting, subject to the approval of this Society's Board of Directors, and the governing body of the Suffolk County Dental Society, provided such bylaws, rules and regulations do not conflict with, or limit, these Bylaws.

Section 90. Duties: The duties of the Greater Long Island Dental Meeting shall be:

A. To annually sponsor a meeting for the education of the dental practitioner, dental auxiliaries, the dental trade and laboratory industry, and the community through the use of various modalities for teaching and learning.

B. To sponsor a series of scientific and commercial exhibits for the purpose of displaying current and advanced materials, equipment, medicaments, research and techniques for the education of the dentist and dental auxiliary.

C. To implement policy determinations relating to the meeting from the governing body of the two (2) sponsoring societies, except as otherwise provided in these Bylaws.

D. To prepare and submit for review an annual budget for the GLIDM to the governing bodies of the two (2) sponsoring Societies.

E. To distribute any surplus funds equally between the two (2) sponsoring societies, after payment of any outstanding indebtedness, and retention of a sum adequate for administrative and operating expenses of the Meeting, as determined by a standing resolution mutually agreed upon by the governing bodies of the two (2) sponsoring societies.

Section 100. Finances: The annual budget for the Meeting shall be listed separately in the annual budget of this Society.

And be it further

Resolved:  That all subsequent chapters of the Bylaws be renumbered for proper sequence.

 

Amendment to the Nassau County Dental Society Constitution & Bylaws Eliminating the Reference to the Level of Dues

 

Background Statement: In order to be more nimble and to address financial issues as they arise in a more timely manner it is recommended that references to the level of dues be removed from the Bylaws and placed in the Administrative code.

Resolved:  That Chapter I, Section 60 of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

Section 60. Dues, Assessments and Reinstatement:

A. Active Members. The dues for active members shall be three hundred sixty five dollars ($365.00) determined by the Board of Directors as described in the Administrative Code and due January 1 of each year, except that any dentist, who satisfies the eligibility require­ments for active membership under Section 20A of this Chapter of the Bylaws, and who satisfies any of the following conditions shall be entitled to pay the reduced active member dues listed under such satisfied condition so long as such dentist maintains continuous membership, subject to the further reductions permitted under the provisions of Section 60H …
