Proposed Amendments to the NCDS Bylaws

The Board of Directors of the Nassau County Dental Society (NCDS) has considered the following two amendments to the NCDS Bylaws. These amendments will be voted upon at the November 2, 2015 General Membership Meeting at the Jericho Terrace, 249 Jericho Turnpike, Mineola, NY. An amendment must be approved by the affirmative vote of two?thirds (2/3rds) of those active, life or retired members present in person for adoption. Voting by proxy is not permitted.

Amendment to Nassau County Dental Society Bylaws

Allowing for Timely Communication with Membership

Background statement:  Unquestionably, technological advances that facilitate communication more readily and in a timely manner have emerged and are being widely utilized.  Most of these advances involve the internet in one way or another.  However, there are currently inadequate provisions in the Bylaws to enable the Society to take advantage of this technology.  Several years ago, in an effort to facilitate communication with the membership, the Bylaws were amended whereby the official website of the Society (www.nassaudental.org) was cited several times.  However it was in the absence of a specific provision allowing it to be considered as an official publication of the Society.  In addition, where notice to the membership is required (i.e., Bylaws amendments), the means to transmit that notice is currently limited to “mail.”  Accordingly, the following resolution is being submitted for consideration by the general membership of the Nassau County Dental Society to address these concerns:

 

Resolved, that Chapter XIII, of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

 

Section 30. Website:  The Society shall maintain a website which may be used to transmit information in a timely manner to its members.  The website shall be maintained in accordance with policies established by the Board of Directors.

Resolved, that Chapter XVII, of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

Any bylaws amendment adopted by the American Dental Association or the New York State Dental Association that would cause these Bylaws to be in conflict, shall be referred to the Council on Constitution and Bylaws for consideration.  Where appropriate, the Committee shall draft appropriate language to resolve the conflict in the form of an amendment to these Bylaws.  The amendment shall then be referred to the Board of Directors for adoption.  All other amendments to the Bylaws must be proposed in writing by twenty five (25) active, life or retired members in good standing as defined in Chapter I of the Bylaws. All acceptable proposed amendments shall be referred to the Council on Constitution and Bylaws for consideration, in accordance with Chapter VIII, Section 100 of the Bylaws. The Council on Constitu­tion and Bylaws shall then refer the proposed amendment with its recommendation to the Board of Directors. Amendments considered by the Board of Directors must be approved by a two-thirds (2/3rds) majority vote of those members present. Upon approval by the Board of Directors, amendments to the Bylaws shall be published in the official publication of the Nassau County Dental Society, a copy transmitted mailed to each member of the Society, or posted on the Society’s website, no less than thirty (30) days in advance of the regular or special meeting of the Society at which the amendment is to be considered. An amendment must be approved by the affirmative vote of two-thirds (2/3rds) of those active, life or retired members present in person for adoption. Voting by proxy is not permitted. Adopted amendments shall become effective immediately unless otherwise specified.

 

Amendment to Nassau County Dental Society Bylaws

Providing for the Filling of Vacancies of Elective Officers

Background statement:  The untimely passing of our Treasurer Elect, Dr. John Santopolo earlier this year, illustrated that the Bylaws of the Nassau County Dental Society were deficient in addressing the filling of vacancies among some of the elective officers should one occur.  In an effort to address this deficiency, the following resolution is being submitted for consideration by the general membership of the Nassau County Dental Society:

Resolved, that Chapter IV, Section 70 of the Bylaws of the Nassau County Dental Society be amended as follows (new language underscored; deletions stricken through):

Section 70. Vacancy: In the event the office of President becomes vacant, the Presi­dent-elect shall become President for the unexpired portion of the term. In the event the office of President becomes vacant for a second time in the same term or at a time when the office of President-elect is also vacant, the Vice-President shall become President for the unexpired portion of the term. In the event the office of Vice President or Secretary becomes vacant, the vacancy may be filled by a majority vote of the Board of Directors for the unexpired portion of the term. In the event the office of Treasurer becomes vacant, the vacancy shall be filled by a majority vote of the Board of Directors for the unexpired portion of the term.
